  3.               for Babylon Trial Version and Babylon-Pro

  6. BY CLICKING ON THE "YES" BUTTON, YOU ARE CONSENTING TO BE 
  7. BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT AND 
  8. THE RELATED AGREEMENTS AS SPECIFIED BELOW.  IF YOU DO 
  9. NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, CLICK 
  10. THE "NO" BUTTON.

  13. Except when stated otherwise below, the terms and conditions of this License 
  14. Agreement, apply to both Babylon Trial Version and Babylon-Pro.  In General, 
  15. the difference in installation between the software of Babylon Trial Version 
  16. and Babylon-Pro is that the Babylon-Pro is a paid License and has full functionality.

  18. Babylon Trial Version Specific Terms and Conditions
  19.  
  20. License Grant
  21.  
  22. If You are using the free trial version: 
  23. Babylon.com Ltd. hereby grants to you a non-exclusive, time limited, 
  24. revocable license to use Babylon's Trial Version software in connection 
  25. with the limited viewing of Babylon's proprietary "Babylon Glossaries" 
  26. system (the Babylon Trial Version, the Babylon-Pro and the Babylon 
  27. Glossaries system hereinafter collectively, the "Tool"), free of charge 
  28. in the case of the Babylon Trial Version, which is the sponsored version 
  29. of the Tool, so long as you comply with the terms and conditions of this 
  30. License Agreement.

  32. If You have purchased a one or two year time-limited Babylon-Pro License: 
  33. Upon payment in full of the License fee to Babylon.Com, Babylon.Com Ltd. 
  34. hereby grants to you a non-exclusive, revocable time-limited (for one or 
  35. two years, as applicable according to the License fee paid) license to use 
  36. Babylon-Pro software in connection with the limited viewing of Babylon's 
  37. proprietary "Babylon Glossaries" system. 
  38. Licensee may terminate this License by destroying the programs and 
  39. documentation and all copies thereof. If any of the terms and conditions 
  40. of this Agreement are violated by the Licensee, in addition to all other 
  41. legal rights and remedies Babylon.Com may terminate this License. 
  42. Upon termination, Licensee shall destroy the software. The provisions of 
  43. this License which protect the proprietary rights of Babylon.Com, shall 
  44. remain in force after the termination of this Agreement.

  46. If You have purchased a Babylon Pro License not limited by time: 
  47. Upon payment in full of the License fee to Babylon.Com, Babylon.Com Ltd. 
  48. hereby grants to you a non-exclusive, revocable license to use Babylon-Pro 
  49. software in connection with the limited viewing of Babylon's proprietary 
  50. "Babylon Glossaries" system which shall remain valid until terminated. 
  51. Licensee may terminate this License by destroying the programs and 
  52. documentation and all copies thereof. If any of the terms and conditions 
  53. of this Agreement are violated by the Licensee, in addition to all other 
  54. legal rights and remedies Babylon.Com may terminate this License. Upon 
  55. termination, Licensee shall destroy the software. The provisions of 
  56. this License which protect the proprietary rights of Babylon.Com, shall 
  57. remain in force after the termination of this Agreement.

  59. Limited Maintenance Period for Babylon-Pro Users Only:
  60.  
  61. Upon payment in full of the License fee to Babylon, Babylon.Com shall 
  62. also supply to You updates and revisions of the Product, if and when 
  63. issued by Babylon.Com (excluding major upgrades, new versions or future 
  64. premium content, all as may be decided by Babylon.Com upon its exclusive 
  65. discretion), as follows: 
  66. (a) If You have purchased the time-Limited License (one or two years) - 
  67.        for the duration of the License.
  68. (b) If You have purchased a License not limited by time - 
  69.        for the first twelve (12) months after the initial purchase of the Product.

  72. The trial version of the Tool may be distributed freely on online 
  73. services, bulletin boards, or other electronic media as long as the 
  74. files are distributed in their entirety and are downloaded only by 
  75. providing a link to files residing on BabylonÆs servers.  This software 
  76. may not be distributed on CD-ROM, disk, or other physical media 
  77. for a fee without the permission of Babylon.com Ltd.

  80. Not a Corporate or Business License
  81.  
  82. This License is a single-user non-corporate license only. The use of the 
  83. TOOL by any business, organization, agency and the like, whether 
  84. for commercial, non-commercial or educational use requires a separate corporate 
  85. license. For prices and further information about a corporate license, please 
  86. contact corporate@babylon.com.

  88. Special Terms and Restrictions of Use for the Babylon Trial Version
  89.  
  90. Babylon may, at its sole discretion, at any time, without prior notice and 
  91. temporarily or permanently: 
  92. (i) terminate, limit or deny the License 
  93. (ii) change, reduce or limit the functionality and features of the Tool; 
  94. (iii) create different priorities or grades for different users 
  95. (iv) introduce new features that may cause functionality change in earlier versions; 
  96. (v) condition the continuation of the License on your accepting Tool improvements, 
  97. corrections, adaptations, or changes, or accepting revised or new terms of License, 
  98. as will be made available on or through the Babylon website, Babylon shall notify 
  99. its users through the Tool, by e-mail or through the Babylon website of changes in 
  100. this License agreement.

  102. Except for Babylon-Pro Users, who are entitled to VIP email customer service from 
  103. BabylonÆs support team, this license does not entitle you to any hard-copy 
  104. documentation, support or telephone assistance. 
  105.  
  106. You may not use or rely on the Tool or the Babylon Website for applications or use 
  107. that may result in damage or for applications or use which contain information or 
  108. data you do not wish to be freely accessible and generally available to Internet 
  109. users.

  111. Privacy Policy

  113. You have read, understood and agreed to Babylon's Privacy Statement applicable to 
  114. you, which is part of this Agreement, and is posted at:

  119. Compliance with Applicable Laws
  120.  
  121. You agree to comply with any applicable copyright, secrecy, defamation, decency, 
  122. privacy, export or other laws.  Babylon is not responsible and/or liable for any 
  123. information, including without limitation, the databases and user-posted website 
  124. material, submitted to the Babylon Website. Babylon may erase, remove, delete, 
  125. delay, jam or alter such information without prior notice, for functional or any 
  126. other reason.

  128. Copyright, Proprietary Information
  129.  
  130. This Agreement does not grant to you any rights to any patents, copyrights, 
  131. trade secrets, trademarks (registered or not) trade names, domain names or 
  132. any other proprietary material of Babylon. You agree not to reverse engineer, 
  133. modify, de-compile, disassemble, alter, duplicate, distribute, repackage, sell, 
  134. copy, create derivative works from or transfer the Glossary Service. You also 
  135. undertake not to remove or alter any trademark, logo, copyright, advertisement 
  136. or other proprietary notices, legends, or labels on or in the Glossary Service.

  138. NO WARRANTY, Liability
  139.  
  140. YOU EXPRESSLY AGREE THAT USE OF THE TOOL IS AT YOUR SOLE 
  141. RISK. THE TOOL IS PROVIDED ON AN "AS IS, AS AVAILABLE" 
  142. BASIS.  BABYLON MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, 
  143. INCLUDING, WITHOUT LIMITATION, THOSE OF MERCHANTABILITY 
  144. AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE 
  145. TOOL, INCLUDING BUT NOT LIMITED TO THE BABYLON SERVERS, 
  146. ANY BABYLON SERVICE, OR ANY INFORMATION POSTED BY USERS 
  147. ON THE BABYLON WEBSITE OR UPLOADED BY USERS TO THE TOOL. 
  148. BABYLON DOES NOT WARRANT, GUARANTEE OR MAKE ANY 
  149. REPRESENTATION REGARDING THE USE OR THE RESULTS OF THE 
  150. USE OF THE TOOL IN TERMS OF THE ACCURACY, RELIABILITY, 
  151. QUALITY, VALIDITY, STABILITY, COMPLETENESS, CURRENTNESS, 
  152. OR OTHERWISE OF ITS CONTENT OR PRODUCTS. THE ENTIRE RISK 
  153. AS TO THE RESULTS AND PERFORMANCE OF THE TOOL AND SERVERS 
  154. IS ASSUMED BY THE USER.

  156. Babylon does not warrant or guarantee that the functions or 
  157. services performed by the Tool will be uninterrupted or 
  158. error-free or that defects in the Tool will be corrected. 
  159. By downloading the Tool you might be exposed to infection 
  160. by viruses, worms, Trojan horses or anything else manifesting 
  161. contaminating or destructive properties. It is your sole 
  162. responsibility to take steps to ensure that the Tool or 
  163. information, if contaminated or infected, will not damage 
  164. your system.

  166. IN NO EVENT WILL BABYLON BE LIABLE TO YOU OR ANY OTHER 
  167. PARTY (i) FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, 
  168. INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT 
  169. LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS 
  170. INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, AND THE 
  171. LIKE), OR ANY OTHER DAMAGES ARISING IN ANY WAY OUT OF THE 
  172. AVAILABILITY, USE, RELIANCE ON, OR INABILITY TO USE THE 
  173. TOOL, OR ANY OTHER INFORMATION PROVIDED BY BABYLON OR ITS 
  174. USERS, EVEN IF BABYLON SHALL HAVE BEEN ADVISED OF THE 
  175. POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE FORM OF 
  176. ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE; OR 
  177. (ii) FOR ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR 
  178. OTHER INACCURACIES IN, OR DESTRUCTIVE PROPERTIES OF ANY 
  179. INFORMATION. IN NO EVENT WILL BABYLON'S LIABILITY WITH 
  180. RESPECT TO THIS AGREEMENT EXCEED THE AMOUNT YOU PAID (IF 
  181. YOU PAID) TO BABYLON FOR THE TOOL.

  184. General Terms

  186. You agree that this agreement is not intended to confer, and does not confer, any 
  187. rights or remedies upon any person other than the parties to this agreement. If any 
  188. part of this agreement is held invalid or unenforceable, that portion shall be 
  189. construed in a manner consistent with applicable law to reflect, as nearly as possible, 
  190. the original intentions of the parties, and the remaining portions shall remain in full 
  191. force and effect.Babylon may transfer, assign sublicense or pledge in any manner 
  192. whatsoever, any of its rights and obligations under this Agreement to a subsidiary, 
  193. affiliate, successor thereof, or to any third party whatsoever, without notifying you or 
  194. receiving your consent.    You shall not transfer, assign, sublicense or pledge in any 
  195. manner whatsoever, any of your rights or obligations under this agreement.

  197. Governing Law and Jurisdiction
  198.  
  199. The laws of the State of Israel shall govern this Agreement. You expressly agree that 
  200. exclusive jurisdiction for any claim or dispute with Babylon arising out of or in 
  201. connection with this Agreement, including its validity, resides in the competent 
  202. courts of Tel Aviv, Israel .This section shall survive the termination of this 
  203. agreement.
